We grant you a non-exclusive, revocable, royalty-free, worldwide licence to use the Assets on your website, application, or marketing materials, subject to the rules below. This licence is personal to you and may not be sub-licenced or transferred.

2. Permitted uses

• Displaying the badge or banner on your website, landing page, or application footer.
• Linking the badge or banner to buildwhatmatters.io.
• Using suggested phrases (e.g., "Helping you Build What Matters.") in proximity to the Assets.

3. Prohibited uses

• Claiming or implying that Build What Matters endorses, certifies, or has approved your product.
• Modifying the Assets in any way - including changing colors, proportions, fonts, or layout.
• Using the Assets in connection with products or services that are deceptive, illegal, or harmful.
• Registering or attempting to register any trademark or domain name that includes "Build What Matters" or any confusingly similar term.
• Using phrasing like "a Build What Matters product" that implies ownership or affiliation.

4. Trademark notice

"Build What Matters", the chevron mark, and associated logos are trademarks. All rights not expressly granted in these terms are reserved. Nothing in these terms transfers ownership of any intellectual property to you.

5. No endorsement or responsibility

Use of the Assets does not constitute endorsement, certification, approval, or any form of recommendation of your product, service, or business. We accept no responsibility or liability for any product, service, or business that displays the Assets.

We have no obligation to vet, monitor, or review any product or service that uses the Assets. Any decision by a buyer, user, or other third party to trust or transact with you is made at their own risk and is not influenced by any representation on our part.

6. Notification service

We may offer an optional email notification service (e.g. to notify you when new features launch). By submitting your email address, you consent to receiving these notifications. You can unsubscribe at any time using the link in any email we send.

The notification service is provided "as is". We do not guarantee delivery, frequency, or continuation of any notification emails. We may discontinue the notification service at any time without notice.

Your email address is processed in accordance with our Privacy Policy.

7. Changes and discontinuation

We may modify, suspend, or discontinue the Assets, the website, the CDN, or any related service at any time, with or without notice, and without liability to you. This includes changing the form, appearance, technical implementation, or URL structure of the Assets.

We have no obligation to maintain, update, support, or continue offering the Assets or any related service. You acknowledge that the Assets and the Build What Matters project may change or cease to exist entirely, and you accept all risk arising from that possibility.

8. Disclaimer of warranties

The Assets are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Assets will be available, uninterrupted, error-free, secure, or suitable for any particular purpose.

We make no warranties regarding the behaviour of any code, scripts, or embeds served from our CDN or any other infrastructure when loaded on your website or application, including their effect on performance, security, or functionality.

9. Limitation of liability

To the fullest extent permitted by law, ECom24 Ltd shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Assets or the website, whether based in contract, tort, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability to you for all claims arising out of or relating to these terms or the Assets exceed zero pounds sterling (£0). This limitation applies regardless of the form of action or the basis of the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless ECom24 Ltd and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Assets, your breach of these terms, or any third-party claim relating to your product, service, or business.

11. Termination

We may revoke this licence at any time, for any reason, with or without notice. Upon termination, you must remove all Assets from your products and materials within 14 days.

If we discontinue the Assets or the Build What Matters project entirely, this licence terminates automatically and the same 14-day removal period applies.

12. Changes to these terms

We may update these terms at any time by posting the revised version at this URL. The "Last updated" date at the top of the page will reflect the most recent revision. Your continued use of the Assets after any change constitutes acceptance of the updated terms. We encourage you to review these terms periodically.

13. Governing law

These terms are governed by and construed in accordance with the laws of Scotland. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Scotland.
